Effective Date: September 17, 2026

Amprasell (Pty) Ltd, registration number 2026/623468/07, of 8 Rhine Road, Seapoint, Cape Town, South Africa (“Amprasell”, “we”, “us”, “our”).

1. Acceptance of These Terms

These Terms of Service (“Terms”) govern access to and use of the Amprasell platform, including our website, web application, and any related services (together, the “Service”). By creating an account, connecting a LinkedIn account, or otherwise using the Service, you agree to be bound by these Terms on behalf of yourself and, where applicable, the company or organisation you represent (“Customer”).

If you do not agree to these Terms, you may not access or use the Service.

2. Description of the Service

Amprasell is a B2B employee advocacy platform that helps organisations coordinate, encourage, and measure employee engagement with company-approved content on LinkedIn. The Service includes, depending on the subscription plan: task assignment, a shared content library, a points and badges system, leaderboards, a Rewards Shop, AI-generated comment suggestions, analytics and reporting, and, on our Concierge plan, a fully managed advocacy service delivered by Amprasell staff on the Customer’s behalf.

3. Accounts and Eligibility

3.1 Company Admin Accounts

A Customer registers a company account and designates one or more Company Admins, who may invite employees, assign roles and permissions, configure programme settings, and manage billing.

3.2 Employee Accounts

Employees are invited by a Company Admin and create an individual account to participate in the programme. An employee’s participation is between the employee and the Customer; Amprasell is not a party to that employment relationship.

3.3 Eligibility

You must be at least 18 years old and have the authority to bind yourself, or the Customer you represent, to these Terms.

3.4 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at hello@amprasell.com if you suspect unauthorised access.

4. Connecting LinkedIn

The Service integrates with LinkedIn through LinkedIn’s official APIs. By connecting a LinkedIn account, you authorise Amprasell to access certain LinkedIn data and take certain actions on your behalf (such as posting content you approve, or reading engagement data for posts made through the Service), strictly as permitted by LinkedIn’s API terms and the permissions you grant.

Amprasell does not store LinkedIn passwords or credentials, and does not access or use unofficial scraping methods. Only activity conducted through Amprasell can be tracked; LinkedIn activity conducted directly on LinkedIn, outside the Service, is not visible to Amprasell.

Your use of LinkedIn remains subject to LinkedIn’s own terms of service and policies, which are outside our control.

5. Subscription Plans, Fees, and Billing

5.1 Plans

Amprasell offers subscription tiers (currently Spark, Amplify, Signal, and Concierge) as described on our pricing page, which may be updated from time to time. Each plan’s included features and user limits are as described at the time of purchase or as subsequently agreed in writing.

5.2 Fees

Fees are billed in advance on a monthly or annual basis, in the currency applicable to the Customer’s market (South African Rand, British Pound, US Dollar, or UAE Dirham, as applicable), via our third-party payment processor. All fees are exclusive of applicable taxes unless stated otherwise.

5.3 Free Trials and Founding Member Pricing

Where offered, free trial periods and founding member discounts are subject to the specific terms communicated at the time of the offer, and may be withdrawn or modified for future customers at Amprasell’s discretion.

5.4 Changes and Cancellation

Customers may upgrade, downgrade, or cancel a subscription in accordance with the process described in the Service or communicated by our team. Except where required by law or expressly agreed, fees already paid are non-refundable.

6. Content Library, Posts, and AI Suggestions

Content uploaded to the Content Library by a Customer’s admins is the Customer’s responsibility. The Customer is responsible for ensuring that content it provides for employees to share complies with applicable law and does not infringe any third party’s rights.

AI-generated comment suggestions are provided as a starting point only. Amprasell never publishes content automatically — the employee reviews, edits, and remains the author and publisher of any content or comment posted to LinkedIn through the Service.

7. Points, Badges, and the Rewards Shop

  • Points and badges earned within the Service have no cash value and cannot be transferred, sold, or exchanged for cash.

  • Rewards available in a Customer’s Rewards Shop are configured and funded by the Customer; Amprasell facilitates the redemption workflow but is not the supplier of the underlying reward unless expressly stated.

  • Points, badges, and unredeemed rewards may be forfeited if an employee’s account is deactivated or a Customer’s subscription ends, except where otherwise agreed.

8. Acceptable Use

You agree not to use the Service to:

  • Post or facilitate content that is unlawful, defamatory, harassing, or infringes any third party’s intellectual property or other rights;

  • Attempt to circumvent LinkedIn’s terms of service, including through unauthorised automation or scraping;

  • Reverse-engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law;

  • Use the Service to send unsolicited communications or spam;

  • Interfere with or disrupt the integrity or performance of the Service.

9. Intellectual Property

Amprasell retains all right, title, and interest in and to the Service, including all software, design, and platform features. Customers and employees retain ownership of the content they create or upload, and grant Amprasell a limited licence to host, process, and display that content solely to provide the Service.

10. Confidentiality

Each party agrees to protect the other’s confidential information with the same degree of care it uses for its own confidential information of a similar nature, and not to disclose it except as necessary to perform its obligations under these Terms or as required by law.

11. Data Protection

Amprasell’s collection and use of personal information is described in our Privacy Policy, which forms part of these Terms. Where Amprasell processes personal information on a Customer’s behalf as part of the Service, the parties will enter into a data processing agreement on request.

12. Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, Amprasell disclaims all warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. Amprasell does not guarantee any specific level of engagement, reach, pipeline, or return on investment resulting from use of the Service.

13. Limitation of Liability

To the maximum extent permitted by law, Amprasell’s total liability arising out of or relating to these Terms or the Service shall not exceed the fees paid by the Customer in the twelve (12) months preceding the claim. Amprasell shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill.

14. Indemnification

The Customer agrees to indemnify and hold Amprasell harmless from any claim arising from the Customer’s or its employees’ content, use of the Service in violation of these Terms, or violation of applicable law.

15. Term and Termination

These Terms remain in effect for as long as the Customer maintains an active subscription. Either party may terminate for the other’s uncured material breach, or as otherwise set out in the applicable order form. On termination, the Customer’s right to access the Service ceases, and Amprasell will handle any retained data in accordance with the Privacy Policy and applicable law.

16. Governing Law and Disputes

These Terms are governed by the laws of the Republic of South Africa. Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration under the rules of the Arbitration Foundation of Southern Africa (AFSA), except where a Customer’s local consumer protection law mandates a different forum, in which case that law will apply to the extent required.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via the Service or by email to the Company Admin. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

18. General

  • Entire Agreement: These Terms, together with any order form and the Privacy Policy, constitute the entire agreement between the parties regarding the Service.

  • Severability: If any provision is found unenforceable, the remaining provisions continue in full force.

  • Assignment: Neither party may assign these Terms without the other’s consent, except in connection with a merger, acquisition, or sale of substantially all assets.

  • Notices: Notices to Amprasell should be sent to hello@amprasell.com.
